I am vehemently against this proposal due to significant concerns about conflicts of interest, a lack of transparency, and the track record of the leadership team.
The proposer was already paid by the DAO to research the feasibility of forming a 501c3. It is a major governance issue for the person who performed the research to now request that the DAO fund them to lead the resulting entity. We have not been provided with the results of that research, and the DAO should have had the chance to review the findings and hold a competitive process to choose the best operator rather than defaulting to the researcher.
Furthermore, the track record of the individuals involved raises serious questions about their professional judgment and past operational performance. Specifically, the recent situation involving FoodNouns and the dissolution of his past non profit efforts make me question whether the treasury is in safe hands.
Finally, I do not agree with the claim that this is a treasury neutral move. Redirecting a long term commitment from an established charitable pool to a new, unproven entity under the direct control of the proposer is a significant strategic shift. This proposal feels like a cash grab rather than a well vetted initiative for the DAO. I believe we should reject this and demand a more transparent and competitive process for any future foundation efforts.
