# Proposal 
Renew Gauntlet’s 12-month engagement for Risk Management, Interest-Rate Curve Tuning, Incentive Optimization, and expanded scope for 2025.
# Compensation Structure
The service fee structure will be a fixed annual fee of **$2.3M** using a **30-day TWAP** for COMP spot price at execution.
30% ($690K) is to be transferred directly to Gauntlet in a lump sump (7666 COMP, $345K USDC). Gauntlet will refund the DAO if a qualifying event as outlined in the [forum post](https://www.comp.xyz/t/compound-gauntlet-year-5-partnership/7200) occurs.
70% ($1.61M) is to be paid in COMP via the [Compound Streamer](https://www.comp.xyz/t/compound-streamer-universal-asset-streaming-infrastructure/6861). The amount of COMP streamed will be USD-adjusted using Chainlink price feeds. The stream will pay out on a per-second basis over a year. $1.61M USDC over 31536000 seconds is equivalent to a rate of 0.05105276509 USDC/sec.
Upon submission of the onchain vote, a 10% buffer will be applied to the stream, meaning a total of ~$1.771M of COMP will enter the Streamers upon proposal execution. This is meant to accommodate for COMP volatility. At the time of onchain vote submission, 39355 COMP is equivalent to $1.771M.

## Specification
Gauntlet has deployed and configured an Aera vault for the Uniswap Foundation on mainnet. Ownership transfer has been initiated from Gauntlet to the Uniswap [Timelock contract](https://etherscan.io/address/0x1a9c8182c09f50c8318d769245bea52c32be35bc). If passed, this proposal will accept the ownership transfer to the UNI Timelock and resume the vault. After successfully transferring ownership and resuming the Aera vault, the proposal will approve and deposit UNI tokens into the Aera vault. This step ensures that the vault is properly funded to support liquidity incentives.
1. Specifically we are updating the MilkmanRouter to our latest version, adding Odos (a DEX aggregator) for better execution, and clearing out hooks that are no longer needed (the current MilkmanRouter, Bebop hooks, as well as any transfer hooks).

## Simple Summary
For over a year, the Compound DAO has used Aera for treasury management. This proposal builds upon prior work to further operationalize the DAO's treasury.
There is currently an excess of USDC and DAI reserves in Compound V2, which could be deployed in lending markets to generate yield for the treasury. Additionally, a portion of the ETH in the Compound Treasury can be utilized to generate yield.
This continuation of the existing programs will enable the DAO to drive a new yield source. The expected impact of this proposal is $30M~ in additional Compound V3 TVL and $1M+ in additional treasury revenue via yield generation.
Deployment details:
* Compound Treasury (2,000 ETH)
* Compound V2 Reserve Assets (15M DAI and 10M USDC)
* The vault’s objective function will be updated from targeted volatility to yield generation. This ensures the stablecoin reserves do not get allocated to volatile assets.
* The vault will continue to allocate into Compound V3 lending markets to generate yield on the underlying assets (this will be enabled in a subsequent proposal due to Compound's 10 action limit in governance proposals).

## Specification
This proposal is 1 of 2 proposals, the second of which will be put onchain after this one passes. The proposals are split up in order to operate within Compound's 10 action limit on proposals:
1. Add `DAI` as an asset to the vault
2. Accept ownership of a new hooks module at address `0x8A216F2C84a3fE5a51Bf57B685864A065D14C53a`. We need to deploy a new hooks module and have the Governor Bravo timelock accept ownership of it to work around a limitation in Governor Bravo that only 10 actions can be called in a single proposal. Without this workaround, adding the following function sighashes would put this proposal over that limit. This new hooks module already has all the existing hooks, plus the following new sighashes: cWETHv3 `supply` & `withdraw`, and DAI `approve` (needed to trade it for USDC)
3. Remove current cUSDCv3 C3PO from the asset registry. In a subsequent proposal we will be adding this back in. We are removing it due to a bug in solc and via-ir flag being able to verify the existing contract onchain (which has been successfully used for over 1 year, but cannot be verified on etherscan due to this bug).
4. Wrap a portion of the ETH currently in the timelock into WETH
5. _reduceReserves on both DAI and USDC V2 reserves
6. Approve WETH, DAI, and USDC to be deposited into the Aera vault
7. Deposit the assets into the Aera vault

## Background
Since 2021, Gauntlet has worked with Compound to maximize the protocol’s capital efficiency given an acceptable level of market risk.

## Proposal
A proposal to renew Gauntlet’s 12-month engagement with Compound on Risk Management, Yield Optimization, and Incentive Optimization. The scope of work includes continuous market risk management to maximize capital efficiency while minimizing the risk of insolvency and liquidations, aiming to create long-term sustainable growth. Incentive optimization aims to bootstrap liquidity, promote growth, and facilitate decentralized governance. Gauntlet renewed its partnership with Compound last year in September, which runs through September 27, 2024.
## Compensation Structure
The service fee structure will be a fixed annual fee of $2,300,000 using the COMP spot price.
A portion of our payment (30% of the $2.3M fee) will be transferred from Compound in a lump sum COMP transfer directly to Gauntlet. Gauntlet will refund the DAO up to 30% of our fee ($690K) in any event, as defined in the forum post.
The remaining 70% of the fee will be paid in USDC via the Vendor Payments Aera Vault, following the same process that the community has approved for [Open Zeppelin](https://compound.finance/governance/proposals/261). This proposal deposits $2.2M of COMP into Aera and calls createStream on a Llama Pay Router, via the Compound Aera vault’s execute function. The stream will pay out on a per-second basis over a year. $1.61M USDC over 31536000 seconds gives a rate of 0.05105276509 USDC/sec. The additional buffer can be reclaimed by Compound governance at any time.
Gauntlet will be able to withdraw the vested funds at any time.
