{"title":"FDP-013: FreeOpsDAO Treasury Dissolution, Asset Liquidation, and Final Distribution","description":"Hey everyone,\n\nI'm putting forward a proposal to begin an orderly dissolution of FreeOpsDAO's remaining treasury assets, appoint a temporary administrator wallet to handle liquidation, and distribute the resulting USDC proceeds to the remaining active members: Chuck and rizzn.\n\nThis proposal is meant to give the DAO a clear, practical plan: focus on assets that are real and liquid, make a reasonable attempt to sell any NFTs with plausible market value, and explicitly ignore spam, scam, dust, and non-economic assets that would cost more to manage than they are worth.\n\n---\n\n### Details\n\nTemporary Dissolution Admin Wallet: \n0xaA1587c70498fC2E24309D144B525df215da10E5\n\nThis is a placeholder address and must be replaced with the final administrator wallet before execution.\n\nAuthorized Role: \nThe administrator wallet is authorized to receive DAO-controlled assets, liquidate approved assets into USDC, and distribute net USDC proceeds to the remaining active members.\n\nDistribution Recipients: \nFinal USDC proceeds will be distributed to:\n\n- Chuck\n- rizzn\n\nUnless otherwise amended before execution, distributions will be made equally between Chuck and rizzn after gas, marketplace fees, and unavoidable execution costs.\n\n---\n\n### Assets to Prioritize\n\nThe administrator should focus on assets with real liquidity and a reasonable path to cash-out:\n\n1. ETH\n - Current treasury holding: approximately 1.491 ETH\n - Action: sell/convert to USDC using a reputable market route.\n\n2. USDT\n - Current treasury holding: approximately 729 USDT\n - Action: convert to USDC or distribute as USDC-equivalent if conversion is not efficient.\n\n3. stETH\n - Current treasury holding: approximately 0.100 stETH\n - Action: sell/convert to USDC through a reputable route, accounting for any stETH/ETH spread.\n\n4. Minor real dust\n - Includes tiny WETH and USDtb balances.\n - Action: convert only if it is operationally efficient and the net proceeds exceed expected gas and effort.\n\n---\n\n### NFTs to Review, But Not Overvalue\n\nThe DAO holds several NFTs in the NFT Vault. These should be reviewed, but only sold where there is actual executable liquidity.\n\nNFTs worth checking:\n\n- OCM Karma #3122\n- FreeRossDAO Genesis Mint Passes #3 through #15\n- Roo #10 from the old Ethereum Roo Troop contract\n\nImportant note on Roo #10: \nThe Roo is from the old Ethereum Roo Troop collection, which has been marked void after the project migrated to Polygon. The DAO does not appear to hold the migrated Polygon Roo. This asset should not be counted as meaningful treasury value unless there is a live bid or clear buyer.\n\nNFT sale guidance:\n\n- List only on reputable marketplaces.\n- Accept reasonable bids where the net proceeds justify the transaction.\n- Do not chase illiquid floor prices that have no recent volume.\n- If an NFT has no bid, no real market activity, or only spam-like demand, it may be abandoned as non-economic.\n\n---\n\n### Assets to Ignore\n\nThe administrator is authorized to ignore, abandon, or leave untouched assets that appear to be spam, scam, dust, or economically irrational to sell.\n\nThis includes, but is not limited to:\n\n- \"Visit website / claim rewards\" tokens or NFTs\n- Fake ETH / fake staking / fake airdrop tokens\n- YIELDX-style or yield-farming dust unless there is a real executable sale above gas cost\n- DOVE, DIXT, QCORE, UCAP, FAM, YFED, XPToken, MoonDayPlus, and similar low-value or non-liquid tokens\n- Any token or NFT that requires interacting with an unknown claim site, suspicious approval flow, or unsafe contract\n\nThe DAO should not risk wallet security or waste gas attempting to recover assets with no credible value.\n\n---\n\n### Administrator Limits and Controls\n\nThe administrator may:\n\n- Receive assets from DAO-controlled Safes.\n- Sell approved treasury assets into USDC.\n- Sell NFTs only through reputable marketplaces or direct OTC arrangements approved by the active members.\n- Reserve a small amount of ETH for gas required to complete liquidation and distribution.\n- Decline to sell assets where expected net proceeds are less than gas, marketplace fees, or operational risk.\n\nThe administrator may not:\n\n- Interact with suspicious claim sites or unknown reward contracts.\n- Grant unlimited approvals except where necessary to reputable protocols, and only for the asset being sold.\n- Use DAO assets for new investments, staking, lending, borrowing, or speculative trading.\n- Distribute proceeds to anyone other than Chuck and rizzn unless a later DAO vote authorizes it.\n\n---\n\n### Reporting\n\nAfter liquidation, the administrator should provide a final accounting to the DAO, including:\n\n- Assets sold\n- Assets ignored or abandoned\n- Sale proceeds\n- Gas and marketplace costs\n- Final USDC amount distributed\n- Transaction hashes for material transfers and sales\n\n---\n\n### Why This Matters\n\nFreeOpsDAO's remaining treasury is small enough that dissolution should be handled cleanly and pragmatically. The real value is in ETH, USDT, and stETH. Some NFTs may have marginal value, but most dust, claim tokens, and inactive assets should not distract from the core goal: converting real assets to USDC and distributing them fairly to the remaining active members.\n\nThis proposal gives us a clean path to close the loop, avoid security traps, and prevent the DAO from spending more effort on dead assets than they are worth.\n\n---\n\n### Vote\n\n- Yes — Approve the dissolution plan, appoint the temporary administrator wallet, authorize liquidation of real assets into USDC, ignore non-economic/spam assets, and distribute net USDC proceeds to Chuck and rizzn.\n- No — Reject this dissolution plan and leave the treasury assets under current DAO control.\n\nThanks for your attention and for helping FreeOpsDAO wind down responsibly, transparently, and without wasting time on assets that are not real cash value.","contentURI":"","contentURIType":"url","proposalType":"ADD_SHAMAN"}
