# Appoint Peterpandam as DUNA Compliance Administrator ## TL;DR Appoint peterpandam as a DUNA Compliance Administrator. This proposal lays out relevant legal guidance, admin responsibilities, and related information for the upcoming DUNA admin term. The Compliance Administrators’ duties, responsibilities and authorization to act on behalf of the DAO are enumerated in the Bylaws set forth in [Proposal 727](https://nouns.wtf/vote/727). This proposal contains certain modifications of those duties, responsibilities, and authorization to act on behalf of the DAO that are effective only as to my initial term as a Compliance Administrator. I have been an active member of the Nouns ecosystem since the spring of 2022. My journey began with Nouns Esports, a project that significantly accelerated my crypto education and sparked a deep curiosity for decentralized governance. Since then, I have maintained a consistent and dedicated presence across various Nouns activities and sub-communities. While I am stepping back from the day-to-day operations of Nouns Esports this year, I remain committed to contributing to the DAO. The DUNA Compliance Administrator role allows me to apply my operational expertise to benefit the collective while I evaluate my next creative endeavors within the ecosystem. I am uniquely qualified for this position due to my experience operating small-to-medium-sized businesses. Throughout my professional career, I have routinely collaborated with legal counsel, financial advisors, and accountants to ensure that all entities and personnel (both employees and contractors) operate within a compliant and secure framework. In 2025 I took the lead on compliance for Nouns Esports. In this capacity, I ensured the safety and regulatory standing of our operations and managed the onboarding and compliance for over 50 KYC’d contractors. I understand that managing finances, tax liabilities, and sensitive personal information is a labor-intensive task. However, it is a crucial foundation for any organization operating at scale. The Compliance Administrator shall signal the state of compliance for each proposal using available DAO tools/clients. If the Compliance Administrator deems that a veto should be used on a proposal due to non-compliance or other existential risk to the DAO, they will inform the Veto Administrators promptly for their review. This is a recommendation only and shall not bind the Veto Administrators in any way. Whenever possible under law, information will be made publicly available, preferably onchain. # Administrators' Participation in DAO Activities During the Administrator's term, to ensure clarity, the Administrator will refrain from voting with their own Nouns and will use a separate administrator wallet to signal whether a proposal is in compliance. They will not vote FOR or AGAINST any proposal, but will communicate on-chain in regards to compliance. They will retain all other rights as a member of the DAO. Additionally, the Compliance Administrators will avoid voting on Nouns DAO proposals in any subdaos or meta-governance during their term. The Compliance Administrators may however submit any proposals needed to further the authorized activities noted in this proposal or as needed. ## Opening of Bank Accounts for Fiat Payment Processing In order to facilitate payments that can not be made directly in crypto via proposal, the Compliance Administrator will be authorized by this proposal to open a bank account for this purpose. Hey all, I wanted to provide an update on this proposal now that it has been completed. The shift from sponsoring teams to hosting proprietary events was the defining strategy of the year. While results varied by market, the "Nouns" brand became a central pillar in the Smash community. Event Circuit Recap Nouns Bowl (Canton, Ohio): Successfully tested the market at the Pro Football Hall of Fame with ~200 entrants. Tipped Off 16 (Atlanta, GA): Our peak success. With 800+ attendees and tens of thousands of online viewers, it solidified itself as a premier "Supermajor." Fast Fall (Niagara Falls, NY): Rebranded from "The Staredown," this was a smaller, experimental event at Seneca Resorts to test regional growth. Nounsvitational (Tokyo, Japan): A "once-in-a-lifetime" experience at the Red Bull Gaming Sphere. It featured a legendary Ken vs. Bombsoldier rematch and deep community integration. --- Nouns.GG: Technical Success vs. Organizational Friction Rounds & Quests: Over 6,000 unique users participated. These features successfully funneled non-crypto-native gamers into "onchain behavior" via rewards and level-ups. The Struggle for Focus: We attempted to be an events company and a software startup simultaneously. This split narrative led to a significant lack of focus. Centralization vs. DAO: We found that high-stakes execution requires clear vertical leadership. Without a singular "boss" to enforce deadlines and accountability, the flat structure made it difficult to scale the software arm effectively. --- Community Sentiment & Toxic Subcultures Despite injecting hundreds of thousands of dollars into a grassroots scene, we faced a "vocal minority" that remained hostile toward the crypto-native origins of the project. This toxicity was a major factor in our team's decision not to re-engage for another year. In hindsight, the proposal was likely too large. Focusing exclusively on events rather than splitting resources with the Nouns.GG platform would have allowed for better focus and a more sustainable "ask" from the DAO. --- 2026: Moving On As of 2026, I have decided to take a step back from Nouns Esports. While Nouns.GG may not have become a standalone, venture-backed startup, the events created memories and brand loyalty that will last for years within gaming culture. Nouns.GG can still be utilized in the future and does not need to be sunsetted. That being said, it does incur monthly costs to keep it online. My understanding is that Sasquatch is working on a proposal for this year to support its infrastructure costs and additional rounds for the Nouns community. # Appoint Peterpandam as DUNA Compliance Administrator ## TL;DR Appoint peterpandam as a DUNA Compliance Administrator. This proposal lays out relevant legal guidance, admin responsibilities, and related information for the upcoming DUNA admin term. Since then, I have maintained a consistent and dedicated presence across various Nouns activities and sub-communities. While I am stepping back from the day-to-day operations of Nouns Esports this year, I remain committed to contributing to the DAO. The DUNA Compliance Administrator role allows me to apply my operational expertise to benefit the collective while I evaluate my next creative endeavors within the ecosystem. I am uniquely qualified for this position due to my experience operating small-to-medium-sized businesses. Throughout my professional career, I have routinely collaborated with legal counsel, financial advisors, and accountants to ensure that all entities and personnel (both employees and contractors) operate within a compliant and secure framework. In 2025 I took the lead on compliance for Nouns Esports. In this capacity, I ensured the safety and regulatory standing of our operations and managed the onboarding and compliance for over 50 KYC’d contractors. I understand that managing finances, tax liabilities, and sensitive personal information is a labor-intensive task. However, it is a crucial foundation for any organization operating at scale. I am comfortable, experienced, and fully prepared to bring this level of administrative support to Nouns in 2026. **Additional Note:** I am based in the United States of America. ## Modifications I don’t have any modifications to the role's scope. This requires ongoing compliance with: - U.S. federal tax rules - Wyoming state law - OFAC and sanctions-related restrictions - Record-keeping obligations - Information-reporting requirements for grant recipients The Compliance Administrator structure exists to ensure that the DAO can confidently and continuously meet these obligations. # Administrator Workload and Day-to-Day Responsibilities Compliance Administrators review proposals, ensure alignment with the DAO Bylaws and U.S. law, oversee KYC onboarding, manage offchain assets, and coordinate with accountants, tax and legal advisors, and other vendors. These responsibilities require continuous monitoring, communication, and coordination. The Reserve Administrator acts as an alternate to the Compliance Administrator, ensuring consistent fulfillment of compliance duties and providing advisory support as needed. Per Nouns DAO [Proposal 662](https://nouns.wtf/vote/662), Administrators "will be responsible for making sure taxes are filed, overseeing KYC of grants, and making sure vetoers are aware of potentially problematic proposals" as main priorities. In accordance with this, the Compliance Administrator's duties shall include: Reviewing each DAO proposal for compliance with applicable laws and regulations and the DAO' governing principles. Compliance includes: a) Tax compliance and confirming receipt of W9 or W8 tax information for grant recipients prior to disbursement of funds. b) OFAC/Sanctions compliance by confirming there is an operational wallet check process. c) Compliance with applicable laws and regulations (e.g. ensuring no illegal activity is included in a proposal). The Compliance Administrator shall signal the state of compliance for each proposal using available DAO tools/clients. If the Compliance Administrator deems that a veto should be used on a proposal due to non-compliance or other existential risk to the DAO, they will inform the Veto Administrators promptly for their review. This is a recommendation only and shall not bind the Veto Administrators in any way. Additionally, the Compliance Administrator shall have the authority to take all necessary action to ensure compliance with such applicable laws or regulations, including but not limited to notifying the DAO of regulatory or legal risks, notifying the Veto Administrator(s), or engaging outside legal counsel and advisors. The Compliance Administrator may coordinate the contracting of a Registered Agent as allows by the Wyoming DUNA Act, 17-32-110 "Appointment of agent to receive service of process", and serve as the contact for said agent. The Compliance Administrator shall be responsible for contracting legal and tax professionals, ensuring that taxes are filed, and serving as the DAO's contact with said professionals and related contractors. The Compliance Administrator shall be responsible for the legal enactment of any proposals passed by the DAO such as the execution of contracts or agreements, the opening of bank accounts, or the facilitation of payments of DAO debts or liabilities. The Compliance Administrator shall be responsible for communicating relevant DUNA information to DAO members and facilitating requests for information. Whenever possible under law, information will be made publicly available, preferably onchain. # Administrators' Participation in DAO Activities During the Administrator's term, to ensure clarity, the Administrator will refrain from voting with their own Nouns and will use a separate administrator wallet to signal whether a proposal is in compliance. They will not vote FOR or AGAINST any proposal, but will communicate on-chain in regards to compliance. They will retain all other rights as a member of the DAO. Additionally, the Compliance Administrators will avoid voting on Nouns DAO proposals in any subdaos or meta-governance during their term. The Compliance Administrators may however submit any proposals needed to further the authorized activities noted in this proposal or as needed. ## Opening of Bank Accounts for Fiat Payment Processing In order to facilitate payments that can not be made directly in crypto via proposal, the Compliance Administrator will be authorized by this proposal to open a bank account for this purpose. The Compliance Administrator may only pay any specific DAO service providers or bills if authorized to do so via a DAO proposal. ## Indemnification The DAO shall indemnify and hold harmless, to the fullest extent permitted by applicable law, the Compliance Administrator for any debt, obligation or other liability incurred in the course of activities on behalf of the DAO. Note any limitations that may be found in the [Wyoming DUNA Act](https://wyoleg.gov/2024/Enroll/SF0050.pdf). ## Term The intended term for this role as Compliance Administrator under this proposal is 1 year from the beginning of the compensation stream. I think you should make the kitpas purchasable, everyone on your list is probably willing to buy a set. You could establish social/content channels to tell the stories via short form content (not a documentary). Overall, I find the budget to be excessive. It would be great to host something in the spring which would give people sufficient time to plan their trip. Nouns Fest had a date well in advance which allowed other groups/people to create programming/content which added to the event in a major way. I'm not sure if this is the best way to proliferate Nouns, but I do think it's important to do things that have an impact. Mono is more than capable of executing this proposal, and I'm sure it will help us gain mindshare with ETH and crypto-native audiences. As much as I love creating art, I'd like to focus more on telling some of the bigger stories in an entertaining and engaging way. Not many other token-gated communities have achieved what we have. If people understood that and could see themselves playing a small part, I think we could attract new governance members.

I'm don't believe our current acquisition tools are a great fit, primarily because Nouns are too expensive. It feels unlikely we'll convert many of these artists into purchasers, even if they appreciate the funding and opportunities. I do see the value in exploring things without a clear outcome, however I still have these outstanding questions: 1. How many people might we expect to setup their first-ever funded wallet? 2. How are we communicating the Nouns collective governance model at these events? 3. What's our plan for follow-up and staying connected with this audience? This prop may be better for Lil Nouns at a smaller budget (we should have funded nouns amigos imo and this prop would work great there too, albeit at a smaller scale)
