Klim has consistently produced thoughtful, high-quality work for Nouns and has helped keep the project relevant across products, creative, and culture. We have had the pleasure of working with him inside and outside of the DAO and strongly support giving him the runway to continue.
nudge-×-nouns
I don’t think Nouns is ready for this right now.
We need to get the house in order before bringing more partners into the mix. Too many opportunities have come through the DAO with real potential, but without the leadership, structure, execution, and follow-through needed to make them work.
That ends up wasting the partner’s time, the DAO’s attention, and the community’s energy.
Before we push more partnerships forward, we need a clear system for how opportunities are evaluated, who manages them, who owns execution, how contributors are activated, and what success looks like.
Nouns has everything we need to be great, now it needs the organization to support it.

# Retroactive Reimbursement for Third-Party Production Costs (Nouns Activation)

---
## Summary
This proposal requests a **one-time retroactive reimbursement of $6,584.71 USDC** to cover third-party production costs incurred for Nouns-related shirts and signage produced by **Stran Promotional Solutions** in early 2025.
The expense was incurred in the course of a Nouns-branded activation involving **Drew Hanlen**, where physical assets were produced and used in good faith to support Nouns visibility. All associated strategy, design, coordination, and production work contributed by Problem was provided without charge and is not part of this request. The billed party did not intend to personally absorb this cost, and the expense remained outstanding following broader program discussions that ultimately did not materialize.
This proposal is narrowly scoped to resolve a **specific, documented external expense** and does not authorize any future work, programs, or commitments.
---
## What was done
- Nouns-branded shirts and signage were produced and delivered for use in a Nouns-related activation.
- Assets were designed, manufactured, and fulfilled by **Stran Promotional Solutions**.
- The work was completed and used as intended at the time.
- An invoice totaling **$6,584.71** remains associated with this production.
---
## Why this is being proposed retroactively
During this period, broader discussions were underway around potential Nouns-related programming involving Drew Hanlen, including Proposals **751** (cancelled) and **764** (defeated). While those proposals did not pass, the physical production work described above had already occurred in good faith and provided tangible value at the time.
This retro request is intended to **close the loop on a discrete third-party cost** incurred during that transitional period, rather than leave the expense stranded or borne personally by the billed party.
---
## Amount requested
- **$6,584.71 USDC**
- Corresponds exactly to **Invoice #546043-1** from Stran Promotional Solutions
- No markup, no labor fees, no additional compensation
---
## Recipient
- **Drew Hanlen (Noun 1240)**
*(Funds may be used to reimburse the already-paid invoice or paid directly toward settlement of the outstanding balance.)*
---
## Why this is reasonable
- The request is **modest and specific**.
- The work was completed and used.
- The DAO received branding/visibility value at the time.
- **Problem** did not seek reimbursement for any internal labor, design, or production costs associated with this activation.
- This resolves a known externality from an otherwise incomplete initiative.
- No precedent is set for ongoing compensation or future obligations.
- Drew committed to the Nounish mission with his acquisition of **Noun 1240** in February 2025.
---
## Explicit exclusions
This proposal does **not**:
- Authorize any future programs or partnerships
- Compensate for time, influence, access, or advisory services
- Revive or amend Proposals **751** or **764**
- Create any ongoing relationship or expectation
---
## Closing
This is a narrowly scoped retroactive reimbursement to cleanly resolve a documented third-party production expense tied to a Nouns activation. It is intended to close out an outstanding obligation from a prior period, not to reopen broader initiatives or commitments.

# Cares: A Decentralized System for Sustainable DAO Growth
# Cares: A Decentralized System for Sustainable DAO Growth
## TLDR:
[Cares](https://cares.tv/) is a high-output, decentralized support system for onchain builders and partners, combining brand strategy, creative execution, and coordination. Since joining Nouns, we’ve launched impactful campaigns, supported major Nouns props, and developed [Shares](https://shares.cares.tv/), a transparent giving platform purpose-built for the DAO.
Top projects are making coordinated bull market pushes with full-time teams and brand strategy. Nouns has creativity and momentum, but lacks connective tissue. Cares fills the gap: a decentralized operating layer that helps the DAO execute, return value, and stay culturally present onchain and IRL.
This 6-month program aligns with the goal of realizing sustainable growth for Nouns: no recurring costs, clear deliverables, and treasury return via revenue-generating public goods campaigns, while creating DAO service engagement pathways for community members through open bounties, project-based work (creatives, developers, PMs), and builder access.
---
## What is Cares? Why does it exist?

Right now, top projects in the space are making strong, concerted pushes in the current bull market with clear brand strategies, consistent storytelling, and coordinated external activations, often backed by full-time teams.
Nouns, by contrast, has decentralized creativity and raw momentum, but lacks the connective tissue to coordinate across proposals, campaigns, global brands and commercial partnerships.
Cares exists to fill that gap: not as an 'agency' in the traditional sense, but really as a decentralized operating layer that helps the DAO execute, return value, and stay culturally present, both onchain and IRL.
---
With over 10+ years building and creating onchain, we’ve helped bridge the gap between creativity, commerce, and technology and supporting public goods with Coinbase, Amazon, Opensea, Zora and, of course, Nouns.
**Since joining the DAO, our team has:**
- Executed [Prop 559](https://https://www.nouns.camp/proposals/559) and brought Nouns to Shibuya Scramble in Tokyo during [EDCON 2024](https://youtu.be/ynNZ2Uw_56w?si=R4jeggmuDpzaj_0e).
- Created the Cares Club physical-digital retail experience.
- Launched campaigns that got Noggles on Vitalik, shipped Nounish merch, published explainers, and onboarded new builders globally.
- Produced [Prop 495 Nouns](https://https://www.nouns.camp/proposals/495) at ETH Denver with Liquid Death, The Hundreds and The Mercury Lounge.
We bring 15+ years of strategic and creative experience in working with major consumer brands including American Express, Nike, Microsoft, Coca-Cola, and more. We’ve re-applied that expertise to the public goods space, and with Cares and Shares, we’re showing what’s possible when DAO coordination meets creative execution.
---
## What do we guarantee to deliver?

Cares is focused on creating infrastructure and executing initiatives with tangible outcomes. For the DAO, that means:
**1. Delivering over $1.2MM in value back via revenue share, onchain contributions through Shares, and brand partnerships.**
**2.** Strategy, branding, and executional support for proposals, partners, and community verticals.
**3.** Public goods campaigns and tools already powering workshops, governance, IRL activations, and educational drops.
**4.** Transparent, milestone-based service execution.
**5.** A treasury return model that balances Break Even priorities with real delivery.
We’re building and running the systems to help Nouns scale responsibly and visibly. Much of this is already live or in motion via active conversations with partners.
## Lead Partners
### Michelin

We're launching a partnership with [Michelin](https://www.michelin.com/) at Token2049 Singapore in October.
**What We’re Focused on for 2025 –**
The Nouns x Michelin Passport is a collaboration between Nouns DAO and Michelin’s 3xplorer initiative.
Our team has been working on the development of the pass and program directly with Michelin since early 2024, navigating the various steps and internal processes that have successfully led to program approval.
The objective is to drive community engagement through digital passes, exclusive events, NFTs, merchandise, and creative activations, fusing Michelin’s cultural prestige with Nouns' Web3 ethos.
**Program Overview**
The Nouns x Michelin Passport combines iconic branding and Web3 mechanics to deliver unique user benefits. Each digital pass offers:
- Priority Invitations: Front-of-line access to Nouns + Michelin experiences and product launches.
- Event Access: Curated dinners, immersive workshops, and exclusive merchandise.
- Gamification: Badge and quest systems integrated into Michelin’s existing M3C framework.
### Drew Hanlen / NBA

[Drew Hanlen](https://x.com/drewhanlen) is the #1 NBA skills coach globally, having secured over $4 billion in player contracts for NBA MVP Joel Embiid and All-Stars Jayson Tatum, Bradley Beal, Zach LaVine, and Tyrese Haliburton.
Beyond basketball, Drew has built a global brand in coaching, content, and business, working with major brands and athletes to create opportunities that extend beyond the court. His network includes world-class athletes, entrepreneurs, investors, and cultural icons.
He committed to the Nounish mission with his acquisition of Noun 1240 — a symbol that will become an integral part of his personal brand, merchandise, and real-world activations.
Drew’s lifelong dedication to giving back is reflected in his community-driven initiatives across Haiti, Africa, and underserved U.S. communities. His passion for education and youth empowerment aligns perfectly with the Nounish mission.
**What We’re Focused on for 2025 –**
- Expand Nouns’ reach into professional sports, introducing Web3 to high-value audiences.
- Empower underserved communities with education, wellness, and entrepreneurial resources.
- Leverage top-tier media and brand amplification, increasing visibility for the Nounish ecosystem.
- Foster long-term partnerships with athletes, teams, and brands aligned with public goods.
- Create a sustainable model for onchain integration in mainstream culture.
### Base

We believe in the Base ecosystem as a foundation for scalable, impactful onchain initiatives, and we are committed to building a better world onchain with Base in mind.
Cares is leveraging Base to create real pathways for athletes, artists, and youth programs to engage onchain meaningfully.
**What we're focused on for 2025 –**
- Amplifying Nounish initiatives through social & press support
- Providing onchain seamless onboarding & engagement
- Supporting program development for sports, education & youth empowerment
- Branded activations, merchandise & event integration
This support system ensures long-term visibility, real-world adoption, and cultural relevance, embedding Nouns and Base into sports, education, and global youth initiatives.
---
## What’s the format? Who’s delivering it?

### Cares Personnel:
- **[Frankie](https://x.com/franke) & [Will](https://x.com/willwheeler) –** Project Leads (All Areas)
- **Wylin –** Project Management / Strategy
- **Drew Hanlen–** Partnerships / Brand Relations
- **DAO Members –** Designers, Developers, PMs
---
We’re proposing a focused, 6-month plan to:
- Deliver ongoing executional support for Nouns-aligned proposals, events, and priorities.
- Enable DAO service engagement pathways to community members through open bounties, project-based work opportunities (creatives, developers, project managers + more), and builder access.
- Generate monthly recaps and host open calls / check-ins.
- Drive real-world brand partnerships and integrations to co-fund proposals and the treasury.
- Develop and grow [Shares](https://shares.cares.tv) into a DAO-native campaign platform that powers IRL activations, co-branded efforts, and trackable public goods.
- **Reinvest 30% of net external campaign revenue back into the DAO.**
### Shares

**Transparent, Opt-In Infrastructure for Public Goods**
[Shares](https://shares.cares.tv) is a decentralized giving platform, built for the Nouns ecosystem, enabling community support and involvement for high-impact projects and partners. Shares powers co-branded campaigns, public goods activations, and donation transparency onchain.
- **Campaign Funding with Accountability:** Launch and support co-branded activations with clear deliverables and measurable outcomes.
- **Contributor Access and Employment:** Issue project-based bounties, rewards, and payments—onchain and in real time.
- **Opt-In Treasury Rail:** Reduce recurring outflows and enable targeted giving through voluntary, campaign-specific support.
- **Onchain Transparency:** Every transaction, recipient, and campaign outcome is traceable—giving DAOs and supporters full visibility into how impact is created.

- We support Nouns-led ideas, not internal agendas.
- Cares is milestone-based, scoped, and non-recurring by design.
- All funds are traceable onchain via Shares, and our deliverables are published, accessible, and remixable.
- Anyone can use our resources. No one is required to.
All services are accessible through a dedicated Nouns Discord channel, with consistent availability for contributors, proposers and partners who wish to collaborate.
We believe in flat structures, provable public benefit, and protecting what makes Nouns different. But we also know not every creator wants to become a marketer, and not every public good can be monetized.

We’ve re-applied that expertise to the public goods space, and with Cares and Shares, we’re showing what’s possible when DAO coordination meets creative execution.

---
We’re proposing a focused, 6-month plan to:
- Deliver ongoing executional support for Nouns-aligned proposals, events, and priorities.

Shares (shares.cares.tv) is a decentralized giving platform, built for the Nouns ecosystem, enabling community support and involvement for high-impact projects and partners.

Cares is focused on creating infrastructure and executing initiatives with tangible outcomes. For the DAO, that means –
(1) delivering over $1.2M in value back via revenue share, onchain contributions through Shares, and brand partnerships

# Cares: A Decentralized System for Sustainable DAO Growth
## TLDR:
[Cares](https://cares.tv/) is a high-output, decentralized support system for onchain builders and partners, combining brand strategy, creative execution, and coordination. Since joining Nouns, we’ve launched impactful campaigns, supported major Nouns props, and developed [Shares](https://shares.cares.tv/), a transparent giving platform purpose-built for the DAO.
While other top projects are making coordinated bull market pushes with full-time teams and brand strategy, Nouns has creativity and momentum, but lacks connective tissue. Cares fills that gap: a decentralized operating layer that helps the DAO execute, return value, and stay culturally present onchain and IRL.
What’s the bridge between Web2 strategy and Web3 coordination?

Right now, top onchain brands are making strong, concerted pushes in the current bull market with clear brand strategies, consistent storytelling, and coordinated external activations, often backed by full-time teams.
---
With over 10+ years building and creating onchain, [Problem](https://problem.tv), the team behind Cares, has helped bridge the gap between creativity, commerce, and technology and supporting public goods with Coinbase, Amazon, Opensea, Zora and, of course, Nouns.

## What does the DAO get for this investment? What do we guarantee to deliver?

Cares is focused on creating infrastructure and executing initiatives with tangible outcomes. For the DAO, that means:
**1. Delivering over $1.2MM in value back via revenue share, onchain contributions through Shares, and brand partnerships.**
**2.** Strategy, branding, and executional support for proposals, partners, and community verticals.

---
## What’s the structure and pacing? How does this reflect fiscal responsibility and governance input?
**Proposed Structure**
- $65K/month retainer for 6 months → $390K
- Optional 6-month extension after DAO review
- Incremental costs only as approved by DAO or sponsor
**Includes:**
- Staffing (Strategy, PM, Partnerships, Creative, Product)
- Campaign production and support
- IRL activations and community engagement
- Shares platform management and growth
- Monthly reports and public-facing outputs
**DAO Access & Participation**
- Cares-dedicated Discord channel for contributors
- Open support for DAO-wide and Nouns-adjacent props
- Office hours and workshops for builders + holders
**Contributor Service Access**
- Shares allows teams to issue bounties, rewards, and recognition.
- Cares can help staff projects with DAO members and trusted builders within the community – creatives, developers, project managers, etc.
We are deeply committed to operational excellence, DAO employment, and treasury return. Our current campaigns are already in motion, and our roadmap is designed to deliver value from day one.

> Retro‑rewarding Bixbite with Noun 16 is the obvious choice. Over the past three years she’s dissected proposals every Thursday, schooled newcomers, and made governance discussions actually worth attending. She dedicates hours each week to thorough proposal reviews, cutting through fluff and elevating every conversation. A low‑digit Noun isn’t just a flex; it’s earned recognition for dedication, meme‑worthy provenance, and relentless community hustle. Keep it simple: +1 for Bixbite, give her that crown 👑

### What is Cares? Why does it exist? What’s the bridge between Web2 strategy and Web3 coordination?
Cares is a high-output, decentralized support model built to empower the Nouns ecosystem with thoughtful brand strategy, transparent execution, and onchain cultural infrastructure.
It bridges Web2 creative and operational rigor with Web3 coordination and transparency, ensuring that every Nounish initiative, regardless of scale, has access to the tools, pathways, and strategic support it needs to succeed.
Cares is powered by [Problem Media](https://problem.tv) and has already delivered results across ETH Denver, Consensus, EDCON Tokyo, Cares Club, and more.
With the launch of [Shares](https://shares.cares.tv/), our opt-in campaign platform, we are introducing an open, accountable system for public goods funding, built with Nouns in mind.
This support system reflects the combination of our experiences and learnings to date, and reaffirms our belief that real coordination happens when culture, strategy, and infrastructure align.
---
### What problem does this solve for the DAO? What is currently broken, misaligned, or underleveraged?
While calls for cost control, accountability, and a break-even treasury have grown louder (and rightfully so), there remains a lack of clear infrastructure to execute on that mandate.
Too often, proposals lack clear outcomes, duplicate efforts, or centralize power under opaque banners. Conversely, many builders lack the resources or knowledge to navigate DAO governance and secure support.
Cares solves for:
- It helps the DAO operationalize its priorities with clarity and consistency.
- It supports proposers with no-strings-attached help, elevating projects without requiring bureaucracy.
- And it does all of this without recurring costs, mandates, or centralized entitlements.
---
### How does this align with the Break Even Movement? What assumptions are being challenged?
Cares aligns directly with Break Even values and governance goals:
- We support Nouns-led ideas, not internal agendas.
- Cares is milestone-based, scoped, and non-recurring by design.
- All funds are traceable onchain via Shares, and our deliverables are published, accessible, and remixable.
- Anyone can use our resources. No one is required to.
We believe in flat structures, provable public benefit, and protecting what makes Nouns different. But we also know not every creator wants to become a marketer, and not every public good can be monetized.
---
### What are we doing exactly? What’s the format? Who’s delivering it?
We’re proposing a focused, 6-month continuation plan to:
- Deliver ongoing executional support for Nouns-aligned proposals, events, and priorities.
- Develop and grow [Shares](https://shares.cares.tv) into a DAO-native campaign platform that powers IRL activations, co-branded efforts, and trackable public goods.
- Reinvest 30% of net external campaign revenue back into the DAO.
All services are accessible through a dedicated Nouns Discord channel, with consistent availability for contributors, proposers and partners who wish to collaborate.

### Who are we? What makes us equipped, trusted, and invested in Nouns?
With over 10+ years building and creating onchain, we’ve helped bridge the gap between creativity, commerce, and technology and supporting public goods with Coinbase, Amazon, Opensea, Zora and, of course, Nouns.
Since joining the DAO, our team has:

- Reinvest 30% of net external campaign revenue back into the DAO.
All services are accessible through a dedicated Nouns Discord channel, with consistent availability for contributors, proposers and partners who wish to collaborate.
---
### Who are we? What makes us equipped, trusted, and invested in Nouns?
With over 10+ years building and creating onchain, we’ve helped bridge the gap between creativity, commerce, and technology and supporting public goods with Coinbase, Amazon, Opensea, Zora and, of course, Nouns.
Since joining the DAO, our team has:
- Brought Nouns to Shibuya Scramble in Tokyo and [EDCON 2024](https://youtu.be/ynNZ2Uw_56w?si=R4jeggmuDpzaj_0e).
- Created the Cares Club physical-digital retail experience.
- Launched campaigns that got Noggles on Vitalik, shipped Nounish merch, published explainers, and onboarded new builders globally.
- Produced Nouns’ ETH Denver activations with Liquid Death, The Hundreds and The Mercury Lounge.
Additionally, we bring 15+ years of strategic and creative experience in working with major consumer brands including American Express, Nike, Microsoft, Coca-Cola, and more. We’ve re-applied that expertise to the public goods space, and with Cares and Shares, we’re showing what’s possible when DAO coordination meets creative execution.
---
### What does the DAO get for this investment? What do we guarantee to deliver?
#### DAO-Facing Outputs
- Strategy, branding, and executional support for proposals, partners and verticals.
- Community tools and onboarding (decks, materials, CC0 assets, resources).
- Governance coordination and response work.
- Dedicated service channel for proposers.
#### Community Programs

---
### What’s the structure and pacing? How does this reflect fiscal responsibility and governance input?
#### Proposed Structure
- $65K/month retainer for 6 months → $390K
- Optional 6-month extension after DAO review
- Incremental costs only as approved by DAO or sponsor
Includes:
- Staffing (Strategy, PM, Partnerships, Creative, Product)

- Shares platform management and growth
- Monthly reports and public-facing outputs
#### DAO Access & Participation

We are deeply committed to operational excellence, DAO employment, and treasury return. Our current campaigns are already in motion, and our roadmap is designed to deliver value from day one.
---
Let’s collectively realize the vision of making Nouns the definitive onchain brand, backed by sustainable treasury practices, a culture of output, and tools anyone can use. We’re ready to serve and build this next chapter together.

> Nouns and PizzaDAO represent two of the most approachable and community-driven projects in crypto. Over the past two years, collaborating with PizzaDAO has introduced the DAO to communities around the world, amplifying brand visibility and allowing people to experience a piece of nounish culture firsthand. These activations are not just about pizza, these are decentralized gatherings where community is fostered and the nounish ethos is shared. The energy and enthusiasm at these events reflect the spirit of Nouns: open, bold, and globally inclusive.
>
> PizzaDAO is a uniquely aligned partner. Their ability to activate communities around a simple, universally understood concept like pizza mirrors the mission to make nounish culture accessible and fun. PizzaDAO events provide a space for nounsfolk to gather and connect. This cultural alignment has proven powerful in strengthening community bonds, and I hope to see it continue well into the future.
>
> Supporting this proposal is an opportunity to continue the momentum of past collaborations, extending the reach of nounish culture to even more local communities. With the event only 10 days away, this is the final shot to support. Time is running out, so we should align on this proposal and make it happen. IMO it's a miss for Nouns to be absent!
After spending more time researching Rocketman’s background and efforts, we feel confident in both the direction and the future of flows.
We like this iteration of the prop and how the stream structure is framed + we see a strong opportunity for sustainable support, with room to learn and evolve.
The Cares team would love to see a future where Web2/Web3 brands, tokens, and mission-aligned partners, from art and education to clean-up efforts that help underwrite or offset monthly flows. We’re happy to support those conversations and help bring the right partners in.

I'm the co-founder of NounsWatch — the team developed an AR feature for our watches, which is amazing, and they didn’t ask anything in return. Their contribution goes beyond the initial scope of work, so I believe they should be compensated, and additional features should be supported for development.

cares-takes-on-nouns-dao-materialsWe’re excited to share that the first phase of foundational materials developed by Cares are now live and accessible at https://cares.tv/nouns
These resources were designed to support onboarding, governance participation, and strategic growth for both new and existing members of the Nouns ecosystem.
This is a living and evolving library, and we’ll be updating it regularly as the DAO continues to grow and define its goals.
Our team is committed to maintaining and expanding these materials in close collaboration with the community and you can feel free to download, sample and make them your own in between subsequent version releases.
We're deeply appreciative of the insights and support already shared by many of you – and we're just getting started.
Let’s keep building a more informed, aligned, and powerful Nouns DAO together.

> I appreciate the vision and contributions that Rocketman has made to the ecosystem — Flows is one of the most ambitious attempts to reimagine bottom-up funding in crypto. However, I will be voting NO on this proposal for the following reasons:
>
> 1. DAO Has No Long-Term Stake in $FLOWs Token.
> Flows is moving toward a tokenized revnet system, and yet Nouns DAO — the only funding source to date — is not explicitly included in the token design.
> Without equity, protocol fees, or token allocations for Nouns, there is no structural mechanism for the DAO to benefit from Flows’ upside.
> We’ve seen this before with other projects that launched tokens after being incubated by the DAO, only to exclude Nouns from the long-term value loop. **I do not want Flows to become another Agora.**
>
> 2. Funding Scale Requires VC Validation.
> Flows already received significant early-stage support from the DAO, well beyond what traditional incubators would commit.
> A follow-on ask of $575k should ideally be de-risked through outside validation.
> If the team can secure venture support — and I’m happy to help introduce them — I would feel more comfortable backing the next round of DAO support. VC validation would show that the tokenomics are sound and that Flows is building a market-aligned, sustainable product.
+1
> I believe in the potential of Flows, but right now it feels unfocused and difficult to rally around.
>
> Many grants either fund things people were already doing or they lack clear follow-through (not to mention the rugs). I’ve tried coordinating with grantees, and even getting the bare minimum of engagement has been challenging.
>
> What is the goal of Flows? What are we actually working toward? We need clear, centralized goals that leverage decentralized tools to coordinate decentralized communities. All in service of building the Nouns brand.
>
> I want a smaller budget version of this proposal. Less funding per month to grantees and more focused goals from the Flows team.
+1
> The premise of Flows is powerful, and it's worth continuing to develop. However, I still think the protocol needs to be fixed to make it "the most effective use of the Nouns treasury." I'd support a proposal to explore different ways to fix and test the protocol before committing to the proposed solution.
We’re always open to putting the right people in the right positions, but we don’t believe the potential legal and structural consequences of this have been fully discussed (unless we missed this?)
We’re not pretending to be experts here, but Wylin raises valid concerns. We’d love to see more dialogue before moving forward, especially around the risks this might create for the DUNA and DAO as a whole.
+1
> I'm deeply concerned that in the rush to push through the DUNA & dearth of information provided along the way, DAO members have fundamental misunderstandings of our new legal entity, leading them to take actions that could put the DUNA itself at risk and reframe Nouns NFTs as securities.
>
> “...if you end up in a situation, where all you’ve done is recreated managers through the Administrator structure, then you’ve ended up in a structure that has managers, and none of the inherent protections of having managers. So it’s capped around, you don’t want to build up into this too complexly. You want to stay flat structured and decentralized and simple…
>
> Can you simply, by calling managerial effort something different, avoid the fiduciary obligations that come with it? The answer is, it depends on what they’re having them do. If they’re working and they’re providing value and driving the direction of the project forward, that can influence token price; you certainly have a centralization problem with Securities… to the degree you want to wrap them as an agent, you need to decide what their fiduciary duties are.
>
> So the more robust you build around the administrators, the less effective the structure works because you’re taking on the more traditional form of corporate business that everyone says does not exist… The more you do those things, the less like a decentralized flat organization you are and you’re driven forward by the efforts of others.
>
> Now that just inherits all of the problems in probably a weaker entity form to make those cases...
>
> There's certainly not a prohibition around committees. I think committees are going to be very important around things like signing the tax returns to demonstrate the effectiveness of review necessary, but I think every single time you empower someone to do a task, you need to ask 'are we empowering them to use their decision-making skills and how broadly, or are we empowering them to do a specific task that requires real world operations?” - David Kerr, Cowrie LLC, co-author of the DUNA model legislation
>
> “Generally speaking, what we’re talking about when we view this legal wrapper and what it’s for, is to wrap a public infrastructure. It’s a Homeowner’s Association for internet infrastructure…the whole idea here is to provide a structure that enables this public infrastructure to remain credibly neutral… we’re talking about the infrastructure layer, it’s a very different concept and one that does not require a hierarchy of individuals coordinating activity and building out an organizational structure underneath these DUNAs…
>
> From a practical perspective, you don’t put all of these people into the DUNA and have them performing services behalf of the DUNA and having obligations to other DUNA members to drive value to the organization; now you’ve defeated the purpose of the organization…
>
> The point of the managerial efforts and securities laws analysis is not the no can provide any value to the ecosystem, it’s just that you want a lot of redundancy and you want a lot of people developing… you want to see tons of people providing value and all of that happening organically within the ecosystem outside of the DUNA itself… as opposed to having a bunch of contractors contracting to provide different types of services because…
>
> if you do that, you basically undermine the whole reliance on managerial efforts because now you’re dependent on those people you’ve empowered to drive the value of the ecosystem.” - Miles Jennings, a16z General Counsel and co-author of the DUNA model legislation.
>
> appointing & empowering a single member as maintainer of the repo, or of the social media accounts, would seem to place managerial efforts on individuals to drive value to Nouns
>
> I would gladly vote For a committee of members, including Volky, to maintain the repo
>
> I also do not think Flows is an appropriate method for compensation. Acknowledging my conflict of interest as I have a software flow for Nouns 95, my concern is rooted in Flows lack of operational structure & tax compliance.
>
> As an organization with significant US nexus, Flows needs to be incorporated & sending tax forms to receipients receiving $600+ of funding, else we will be funding and encouraging contribution to the DUNA via a noncompliant organization
Cares supports this proposal and is willing to help build and grow Nouns channels at no cost to the DAO.
We’d rather see the X account active, even in a learning phase, than stagnant. This is a step toward correcting the DAO’s quiet, disconnected trajectory. Consistent, governance-focused Spaces and posts can help rebuild trust and visibility.
This role should remain outside current social circles to avoid further favor trading. It requires neutral operators with actual comms experience.
Too often, those preaching “community and culture” in nouns also consolidate power behind the scenes. There is currently no real community or culture in nouns, just the illusion of it. It’s time to reset the tone, and this could be a healthy first step.

Mike, as always, we appreciate your POV – Everything we build is designed to onboard more people into Nouns—authentically and sustainably. We've historically spent more on single events with fewer than 80 attendees, while this program scales visibility and engagement far beyond that. To attract trusted partners and demonstrate our reliability, we have to show Nouns thriving out in the wild, continuously—not just in isolated moments. Building programs like this helps achieve exactly that.

# Cares takes on Nouns DAO Materials
Starting a topic on what feels like an ever-present discussion that should be put into action⤵️
**[Cares](http://cares.tv)** will take the initiative to **develop and manage foundational materials for Nouns** – the central goal is to create accessible, comprehensive resources that support onboarding, engagement, and education for new and existing participants within the Nouns ecosystem and inform future goals, processes, and projects.
---
### What’s Happening?
As we progress, **Cares will be interviewing current and active holders, governance participants, and key contributors within the DAO.**
By gathering valuable insights from the community, we aim to produce a range of tools and resources that reflect the ethos and ambitions of Nouns.
**Please see “How to Get Involved” below to volunteer yourself for an interview.**
---
### What We’re Building
We are developing a suite of materials that will live on the Cares website, and the upcoming Nouns website relaunch is currently in progress. These resources will include:
- **Onboarding Guides:** Easy-to-understand documents and tutorials to help new members quickly get up to speed with the Nouns ecosystem.
- **Press Kits:** Comprehensive press kits to help promote Nouns projects and initiatives effectively.
- **Strategy Documents:** Well-crafted strategy guides to ensure aligned progress and messaging across various projects.
- **Governance Resources:** Documentation designed to enhance transparency and participation within the DAO.
---
### Why This Matters
We recognize that Nouns is a vibrant, evolving community with immense potential. By equipping members with structured resources and clear strategies, we can **enhance collaboration, creativity, and governance within the DAO.**
Cares is committed to supporting the Nouns ecosystem with **accessible, high-quality materials** designed to amplify everyone’s contributions.
Practically speaking, this also positions us well to develop a **comprehensive brand and commercial strategy** (more on that below).
---
### A Living, Flexible Resource
The materials we are creating are intended to be **flexible and ever-evolving** – as Nouns grows, we will continue to refine, update, and expand these resources to reflect the latest developments, goals, and governance practices.
Our commitment is to **uphold this effort as a team for the lifetime of the DAO**, ensuring that these resources remain relevant, effective, and accessible for all community members.
---
### Informing Future Goals, Processes, and Projects
This is a foundational step to guide and inform larger goals and initiatives our team and many members of the DAO are interested in:
- **Developing a Comprehensive Brand and Commercial Strategy:** Focus on establishing and growing Nouns as a recognizable brand in broader consumer markets and enthusiast communities.
- **Establishing Partnerships Ethos and Guidelines:** Establish clear guidelines for aligning brand strategy and values with partnership procurements, evaluations, and approvals. And, yes, this can apply to proposals, grants, and other DAO-led initiatives!
- **Industry / Verticals Strategy:** Develop a comprehensive commercial strategy that aligns with key industries and verticals that Nouns would like to invest in, break into, or form stakeholder relationships within.
- **Communications Strategy:** Develop a holistic communications strategy for Nouns that aligns with its updated brand identity, vision, and commercial strategies. Our team will build a dedicated (and doable) strategy to prioritize verticals outside of Crypto and NFT for a more diversified integrated comms strategy across PR (earned), advertising, and/or sponsorship(s)/partnership(s).
- **Internal Education and Best Practices:** Create and index knowledge internally on specific best practices for brand building, partnerships, and market positioning.
---
### How To Get Involved
We invite everyone to contribute to Cares as we discuss this initiative's plan, timeline, and scope.
Please volunteer yourself for an interview by commenting below or reaching out directly to [Will](https://warpcast.com/wmw) **or** [Frankie](https://warpcast.com/frankieco.eth) **on Warpcast or Discord.**
Regular updates will be provided as we progress, and we welcome all feedback and collaboration from the community.
Stay tuned for more details and be a part of building a stronger, more connected Nouns.

**️** – **Cares**cares-takes-on-nouns-dao-materials
We've streamlined the event and program series to provide the DAO with clearer participation pathways, stronger incentives, and tangible benefits.
This structure prioritizes visibility, engagement, and co-branded initiatives that directly benefit the DAO and generate revenue upon launch. As planned, we'll have players, teams, and public figures actively participating in DAO governance, programs, events, and content—all under the Nouns brand. The opportunity to merge worlds and make an impact is here.

## Why Cares?

[Cares](https://https://cares.tv/) is a decentralized, Nounish collective that helps bridge the gap between creativity, commerce, and technology while supporting public goods. It was founded by the team behind Problem, an integrated marketing and strategy firm that has worked with best-in-class global brands and start-ups throughout its 15-year history.
In its first year, the Cares team has dedicated itself to amplifying Nouns’ mission with its own brand of Nounish creativity and energy.
From supporting last year's ETH Denver and Consenus activations and merchandise programs with The Hundreds, to bringing Nouns to EDCON 2024 Tokyo [(Prop 559)](https://https://www.nouns.camp/proposals/559) with an unforgettable presence on the Shibuya Scramble billboards, building the Cares Club phygital retail experience for the DAO, and getting [Noggles on Vitalik](https://paragraph.xyz/@ccarella/vitalik-%E2%8C%90%E2%97%A8-%E2%97%A8)—we’ve pushed boundaries, heightened Nouns’ visibility, and onboarded countless builders and non-crypto natives to Nouns. — we’ve pushed boundaries, heightened Nouns’ visibility, and onboarded countless builders and non-crypto natives to Nouns.

This structure ensures **long-term sustainability, brand amplification, and onchain growth**, reinforcing Nouns as a **leading force in culture, innovation, and public goods**.
---
### Strategic Noun Onboarding
Cares will waive all service fees for production and program management in exchange for five Treasury Nouns—requesting Nouns 826, 519, 758, 915, and 573. This approach preserves treasury liquidity while unlocking high-value opportunities for collaboration, governance participation, and brand visibility within influential networks.
Cares will establish a delegate-governance participation program within Nouns, strategically onboarding NBA MVPs, teams, and key partners who actively shape sports, philanthropy, and entertainment. By integrating Nouns into major leagues, brand strategies, and philanthropic programs, this initiative will create a direct pipeline for high-profile decision-makers to participate in governance—leveraging onchain infrastructure to drive scalable, real-world impact.
---
## Conclusion – The Future of Nounish Media
By launching this series, we will:
- **Merge professional sports, Onchain media, and public goods**.
- **Generate sustainable revenue through mints & sponsorships**.
- **Leverage Drew’s credibility & network to onboard public figures, teams & partners**.
- **Use Coinbase Wallet & Base to streamline adoption**.
- **Build Nouns into an established brand within sports & entertainment**.

nouns-treasury-investment-planCares wholeheartedly endorses this plan – mitigating risk and optimizing returns through asset allocation is a sensible approach to long-term value creation and greater flexibility in brand activations and proliferation.
With the majority of the allocations being low-risk yield-driven, it should be a no-brainer for the DAO to eliminate stagnation and create some foundational treasury growth, with the potential to scale up for greater yields in time.
On the topic of spending, classifying grants vs. investments when it comes to utilizing treasury funds (a la "the break-even movement") is a sensible litmus test approach for gauging a proposal’s inherent value and potential returns. This should yield more quantitatively minded proposals and, hopefully, more strategic and thoughtful feedback loops with voters. We have been vocal proponents of this since joining Nouns and are pleased to see this logic gaining tangible support.
As an agency, we implemented a similar model years ago, taking small to medium equity positions in client projects to have more skin in the game, realize long-term gains vs. one-off engagements, and focus on growth in parallel. This produced a fundamentally positive change in our business and general outlook on evaluating and accepting/deferring opportunities. Reinvesting and staking crypto only complemented this strategy, especially concerning onchain projects.
In short, we hope this moves forward and are here to fully support it. Thank you for the work on this, Wilson and Dusk!
We completely understand the need to prove concepts, which is why we’ve already demonstrated the relationships and potential of this project—most recently with Jayson Tatum at TD Garden in Boston (as shown in the prop). We premiered never-before-seen footage of Drew training Kobe Bryant and Jayson, which has generated over 35 million impressions in the past 30 days.
While we’re committed to making these initiatives happen, it’s difficult to pre-plan and execute consistently on our own dime. This proposal ensures we have the proper time and resources to onboard, execute, and scale effectively, rather than piecing things together reactively. For Nouns to break out of the crypto echo chamber, we need to build with intention, not just experiment with one-off pilots.
+1
> i think there is an opportunity here for nouns to leave the crypto eco chamber more, am abstaining on this one to ask the Cares team to try a smaller ask for a pilot of the docuseries so as to prove the concept more.
