# Appoint Index as DUNA Compliance Administrator ## TL;DR Appoint **Index** as a DUNA Compliance Administrator. This proposal lays out relevant legal guidance, admin responsibilities, and related information for the upcoming DUNA admin term. The Compliance Administrators’ duties, responsibilities and authorization to act on behalf of the DAO are enumerated in the Bylaws set forth in [Proposal 727](https://nouns.wtf/vote/727). This proposal contains certain modifications of those duties, responsibilities, and authorization to act on behalf of the DAO that are effective only as to my initial term as a Compliance Administrator. (If another Compliance Administrator is elected, her duties, responsibilities and authorization to act on behalf of the DAO will be determined by the Bylaws, or a DAO proposal that modifies them.) These modifications are in accordance with Section 2.2 of the Bylaws, which states that the DAO may authorize a Compliance Administrator to exercise rights, powers, and privileges set forth in an approved DAO proposal. --- ## Introduction Hi, it’s Index again. I’m applying to continue in the role of Nouns DUNA Compliance Administrator (or Reserve). Over the last year, I’ve been fortunate to serve as Compliance Administrator during the initial DUNA transition and first operating year. My work focused on making the Wyoming DUNA real in practice while building processes and structure that balanced regulatory compliance with the DAO’s long history and unique culture. Some of that work included: - Coordinating with the Foundation and its advisors to ensure a seamless transition to the Wyoming DUNA - Working to establish new processes for the DUNA in line with legal, tax, and accounting advice - Supporting compliant payments and grants, including the return of funds from cancelled or adjusted proposals - Engaging with external parties to legitimize the DUNA through discussions and required documentation Outside of the DUNA work, I’ve also contributed to Nouns in a variety of ways over the years: - **Noundry contributions**: Index Card head, Curling Stone head, broken heart accessory - **Meta-governance support**: Lil Nouns, Nouncil, Lil Nouncil - **ZeroWeight**: Experimented with providing a voice to community members without voting weight - **Tabs**: Built a resource-focused dashboard for DAO information - **Nouns.game**: Working on a Nouns client funded strictly through the incentive program, most known for the crystal ball ## Modifications I think the Compliance Administrator role is already well defined, and it is best for the DAO’s overall health if it remains that way. Based on my past experience, the Administrator will still receive requests that fall outside the specific scope of the role. When that happens, I will aim to be helpful without expanding authority. That may mean resolving something quickly, connecting the request with an appropriate DAO member, or bringing it to the broader DAO for discussion, with the goal of reducing friction and keeping things running smoothly. ## Eligibility This proposal is in accordance with the 2026 DUNA Admin Election process ratified by [the Election Process proposal](https://www.nouns.camp/proposals/905), and meets the following criteria: - Candidate proposals must be submitted onchain during the designated submission window. - Compensation streams for all admin candidates must begin 2/1/26 and end 1/31/27 and shall not exceed 100,000 USDC. - Nominees must refrain from influencing the election through voting, meta-governance, or governance discussions, including but not limited to Lil Nouns, Nouncil, or Nogs. ## Closing Statement I’m grateful for the time I’ve spent with Nouns so far, from the first FOMO and OG Noundry, through the different “seasons” and forks, and of course the infamous DUNA transition. The Reserve Administrator acts as an alternate to the Compliance Administrator, ensuring consistent fulfillment of compliance duties and providing advisory support as needed. Per Nouns DAO [Proposal 662](https://nouns.wtf/vote/662), Administrators "will be responsible for making sure taxes are filed, overseeing KYC of grants, and making sure vetoers are aware of potentially problematic proposals" as main priorities. In accordance with this, the Compliance Administrator's duties shall include: 1. Reviewing each DAO proposal for compliance with applicable laws and regulations and the DAO' governing principles. Compliance includes: a) Tax compliance and confirming receipt of W9 or W8 tax information for grant recipients prior to disbursement of funds. b) OFAC/Sanctions compliance by confirming there is an operational wallet check process. c) Compliance with applicable laws and regulations (e.g. ensuring no illegal activity is included in a proposal). The Compliance Administrator shall signal the state of compliance for each proposal using available DAO tools/clients. If the Compliance Administrator deems that a veto should be used on a proposal due to non-compliance or other existential risk to the DAO, they will inform the Veto Administrators promptly for their review. This is a recommendation only and shall not bind the Veto Administrators in any way. Additionally, the Compliance Administrator shall have the authority to take all necessary action to ensure compliance with such applicable laws or regulations, including but not limited to notifying the DAO of regulatory or legal risks, notifying the Veto Administrator(s), or engaging outside legal counsel and advisors. 2. The Compliance Administrator may coordinate the contracting of a Registered Agent as allows by the **[Wyoming DUNA Act](https://wyoleg.gov/2024/Enroll/SF0050.pdf)**, 17-32-110 "Appointment of agent to receive service of process", and serve as the contact for said agent. 3. The Compliance Administrator shall be responsible for contracting legal and tax professionals, ensuring that taxes are filed, and serving as the DAO's contact with said professionals and related contractors. 4. The Compliance Administrator shall be responsible for the legal enactment of any proposals passed by the DAO such as the execution of contracts or agreements, the opening of bank accounts, or the facilitation of payments of DAO debts or liabilities. 5. The Compliance Administrator shall be responsible for communicating relevant DUNA information to DAO members and facilitating requests for information. Whenever possible under law, information will be made publicly available, preferably onchain. ## Administrators' Participation in DAO Activities During the Administrator's term, to ensure clarity, the Administrator will refrain from voting with their own Nouns and will use a separate administrator wallet to signal whether a proposal is in compliance. They will not vote FOR or AGAINST any proposal, but will communicate on-chain in regards to compliance. They will retain all other rights as a member of the DAO. Additionally, the Compliance Administrators will avoid voting on Nouns DAO proposals in any subdaos or meta-governance during their term. The Compliance Administrators may however submit any proposals needed to further the authorized activities noted in this proposal or as needed. ## Opening of Bank Accounts for Fiat Payment Processing In order to facilitate payments that can not be made directly in crypto via proposal, the Compliance Administrator will be authorized by this proposal to open a bank account for this purpose. The Compliance Administrator may only pay any specific DAO service providers or bills if authorized to do so via a DAO proposal. ## Indemnification The DAO shall indemnify and hold harmless, to the fullest extent permitted by applicable law, the Compliance Administrator for any debt, obligation or other liability incurred in the course of activities on behalf of the DAO. Maintaining the current administrators provides continuity during an important phase of ongoing compliance and structural work. A change in administrators will require elections, onboarding, and a transition period, which would add time and overhead while these processes are still being finalized. We are requesting a 4-month extension to keep that continuity in place through the DAO's first tax filing and give the DAO a stable path forward. We will be submitting a candidate with a proposed process for elections with a distinct timeline beginning in April after the tax filing deadline. This timeline ensures that Admins are able to remain focused on tax filings through the deadline without distractions, and can then shift focus to elections and potential onboarding/transition to new admins as needed. ## Moving Forward The first year of DUNA operations has been a transition period, moving from the Foundation-led era into a fully decentralized administrative structure managed directly by DAO-elected participants. Throughout this process, we have worked to establish clear documentation and introduce repeatable compliance and reporting practices that did not previously exist within the DAO. With these foundations in place, we have begun upgrading our professional partners to better align with the DAO’s needs. Our new tax advisors are actively supporting structure review and long-term strategy recommendations that will be presented to the DAO. As we reach the end of our current contracts, we will weigh our options and determine whether changes in service providers would improve transparency, alignment with onchain operations, or overall cost efficiency. The DAO currently has a USDC debt of ~53.5k from both [Proposal 855](https://nouns.wtf/vote/855) and [Proposal 856](https://nouns.wtf/vote/856). I'm proposing to refill the Payer contract with 200,000 USDC in order to pay down the current debt and leave a buffer for future proposals. The DAO currently has over 900k USDC sitting in the treasury. These funds can be withdrawn back to the Treasury at any point via proposal. - - - Historically, transactions were automatically added to proposals to transfer ETH to the Token Buyer, which would eventually be used to fill up the Payer contract. These were turned off as the DAO began to run low on native ETH. Proposals are still requesting USDC from the Payer contract, but without the Buyer contract refills being included. Providing some clarification on two aspects of the prop: 1. Wrapping stETH does not trigger a taxable event. 2. Switching to wstETH removes the daily accrual of staking rewards, which are generally treated as taxable ordinary income. Instead, rewards accrue through price appreciation, and taxable income may be deferred until the tokens are unwrapped or swapped for another asset. While the exact tax savings will need to be determined later, the DAO currently accrues over $500 per day in staking income.

Yes, we must be diligent in keeping things flat and decentralized under DUNA, but I don’t think GitHub access is an issue in that regard. The DAO runs on smart contracts on Ethereum, and only the DAO can make changes to those contracts through onchain governance. Nouns.wtf and the GitHub repo are just two of several places where the community can now build around the protocol, not the core protocol itself. Anyone can submit a pull request, and there are many contributors with merge access, so responsibility is already pretty spread out. I see this as a good step toward more open source collaboration, and we can keep moving in that direction if that’s where the DAO wants to go.

Throwing a for vote in support of Tagawa, but with the understanding that this proposal is not passing and could indeed benefit from some improvements in clarity and/or scope adjustments. I hope theres a version of this prop that both the DAO and Tagawa (+team) can feel excited about. Either way, look forward to seeing more nounish drawings almost every single day on FC/X.

Many found the deliverables to be too muddled/vague/vast and would prefer more succinct explanations of each part or even separate proposals for separate deliverables. Using dates of events already passed also caused many to vote against this proposal. Overall the Nouncil greatly appreciates Tagawa-san and all he does for Nouns and children worldwide, and it is safe to say we are fans of the art and hope a new proposal will be made if this one does not pass. It seems as though this prop was first created in July and current version I'm looking at has timelines outdated. If we're going to talk specifically on budget, I feel as though $33,000 is a tad high for me for these development costs when comparing previous props for noggles and their outcomes. Agree with the instructor training fees, but do not agree with childcare costs on this. While some members supported the proposal, citing Drew's exemplary contributions and advocating for rewarding thoughtful governance, others raised concerns about setting a problematic precedent, the need for merit-based metrics, and potential issues of fairness and propriety in distributing Nouns. The evenly divided votes reflect the complexities and differing perspectives on establishing such rewards within the Nouns community. So I’d support setting this precedent."* **AGAINST - 13 VOTES** **imwylin** | *""Soft precedent" became an issue for the United States Supreme Court, when it was derided as a "disturbing aspect" of the lower court's decision, "reason to grant review" by the Supreme Court, and that it was, "hard to imagine a reason that the Court of Appeals would not have published this opinion except to avoid creating binding law for the Circuit." - (https://ncapb.foxrothschild.com/2015/02/02/soft-precedent-unpublished-opinions-in-the-fourth-circuit-court-of-appeals/) there are no other examples of hard vs soft precedent that I can find, and I find it similarly inappropriate for Nouns to establish this grey area as a formal practice. precedent is precedent, playing fast and loose like this is poor governance. the core reasoning of this proposal is that a merit-based reward is due. meritocratic processes require metrics. if the proposers is of the opinion there are other voters who should be given a Noun for the same or similar merits, they should be included in the proposal. otherwise, this and the subsequent proposals land more like a vote on Nounish Social Credit Score than a vote on the merits presented. This gives the appearance of impropriety in deciding who's in the club and who isn't, which would again be poor governance. also of note for me, is that the individual to be rewarded entered the Nouniverse via a 10Ξ grant program, and was awarded $650,000 for a coffee shop without having completed due diligence before being awarded the funds. not trying to pocket watch anyone, it does seem as if the awardee ad the desire to purchase a Noun at auction, it could have happened by now. since we're discussing precedent, the rush to award someone such a high level of funds without them performing basic diligence or a detailed overview of what the final product would be - a severe break from the precedent set by the Nouns Deli proposal - was not, in my opinion, an example of good precedent or governance"* **peterpandam** | *"if he wants one they are available daily, dislike the concept of nominating people to receive nouns. plenty of people who contribute to nouns who don't own one. should they all receive one? if money is an issue, ship a prop, use some of your compensation for executing that prop to save up towards purchasing a noun. people should want to buy a noun, not encouraged to wait around and see if they are given one."* **sqx.pcc** | *"the ad hoc nature of nouns as gifts is..."* **ABSTAINS - 6 VOTES**

i think there are some valid concerns raised by prev. voters, but trying to keep it as simple as possible: would nouns benefit from having drew as a member? i think the answer is yes.
